Justin Escher Alpert is an experienced counselor for venture capital investors and corporate clients ranging in size from individual owners to publicly traded entities. His experience encompasses a broad range of transactions, advising companies and investors with regard to capital raising, restructuring of capitalization, mergers and acquisitions, general corporate governance, and compliance with or exemption from securities laws and regulations in public and private financings and investments, as well as day-to-day commercial and operating issues facing small and mid-size companies.

Justin represents companies throughout the course of their business with respect to corporate formation, business strategy, employment contracts and compensation plans, complex contract negotiation and drafting, and licensing of intellectual property. He also advises companies in drafting business plan memoranda, taking great care to unravel complicated businesses to a vernacular for presentation to angel and venture capital investors at all stages of financing.

Justin was previously associated with the Roseland, New Jersey-based Lowenstein Sandler as counsel to its Tech Group and with the Wall Street firm of Cadwalader, Wickersham & Taft in its Corporate/M&A Department.

Prior to practicing law, Justin spent years working on production of major motion pictures, including The Devil’s Own, Striptease, Fair Game, Independence Day; The Indian in the Cupboard, and The Perez Family, in Miami, Los Angeles, and New York.

Justin graduated with a B.A. from Florida State University and earned his J.D. from New York Law School, magna cum laude. He is admitted to practice in New York and New Jersey.
